Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether an individual or an entity, “you” or “Customer”) and HAPIS — HAP Intel Systems, the trade name under which Oswaldo Hernández Arrambide operates an independent RF engineering sole-proprietorship based in Guadalajara, Jalisco, México (“HAPIS”, “we”, “our”, or “us”). By accessing or using any service, website, API, software, or content provided by HAPIS — including hapintel.com and hapintel.store (collectively, the “Services”) — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Services.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” refers to that organization.

2. Description of Services

HAPIS provides RF engineering software tools, including:

  • Link Budget API — RESTful API for ITU-R compliant RF calculations
  • SaaS Dashboard — Interactive HAPS coverage planning and visualization
  • NTN Simulator — 3GPP compliant non-terrestrial network simulation

Features, availability, and specifications of each Service are described on hapintel.com and may evolve over time.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. The Services are not directed to children under 13, and we do not knowingly collect data from them.

4. User Accounts and API Credentials

You are solely responsible for:

  1. maintaining the confidentiality of your account credentials and API keys;
  2. all activity that occurs under your account, whether authorized by you or not;
  3. immediately notifying HAPIS of any suspected unauthorized access or security incident affecting your account.

API keys are personal to the account holder. Sharing, reselling, or otherwise distributing API keys without prior written consent from HAPIS is prohibited and may result in immediate termination.

5. Subscription Plans, Billing, and Renewal

5.1  Plans and pricing for paid Services are published at hapintel.store and may be updated from time to time. Pricing changes do not apply retroactively to active subscription periods.

5.2  All payments are processed by Lemon Squeezy, our Merchant of Record. By purchasing a Service, you also agree to Lemon Squeezy's terms and policies.

5.3  Subscriptions renew automatically at the end of each billing cycle unless cancelled at least 24 hours before the renewal date through your account portal or by emailing contact@hapintel.com.

5.4  Failure to pay any fees when due may result in suspension or termination of your access to the Services.

5.5  All fees are exclusive of taxes; you are responsible for all applicable VAT, sales tax, withholding tax, and similar charges imposed by your jurisdiction.

6. Refund Policy

Refund eligibility and procedures are described in our Refund Policy, which forms part of these Terms. In summary: new subscriptions are eligible for a refund within a 14-day evaluation window subject to usage thresholds; renewals are not refundable; service-failure refunds are prorated. 7. Acceptable Use

You agree not to:

  1. use the Services for any unlawful purpose or in violation of any applicable export control, sanctions, telecommunications, aviation, or spectrum regulation;
  2. exceed published rate limits or circumvent any technical limitation of the Services;
  3. reverse engineer, decompile, disassemble, or attempt to derive source code of the underlying software (this does not restrict your right to inspect the standards-based formulas we publish openly);
  4. resell, sublicense, or redistribute access to the Services without prior written authorization;
  5. use the Services to develop a competing product;
  6. introduce malware, conduct denial-of-service attacks, scrape beyond reasonable use, or attempt to access data not belonging to you;
  7. misrepresent the outputs of the Services as certified or approved by HAPIS, any regulator, or any standards body.

8. Intellectual Property

8.1  HAPIS and its licensors retain all right, title, and interest in the Services, including all software, models, documentation, and trademarks. Your subscription grants you a limited, revocable, non-exclusive, non-transferable license to use the Services solely for your internal business purposes during the term of your subscription.

8.2  You retain ownership of all data you submit to the Services (“Customer Data”), including input parameters and configurations. You grant HAPIS a worldwide, royalty-free license to process Customer Data solely to provide and improve the Services. We do not use Customer Data to train machine-learning models without your explicit consent.

8.3  Outputs generated by the Services on your behalf (e.g., calculation results, reports, exported files) may be used by you freely for any lawful purpose, subject to these Terms.

9. Calculation Accuracy and Engineering Disclaimer

9.1  HAPIS implements internationally recognized RF propagation models (ITU-R, 3GPP) and validates implementations against published reference case studies within stated tolerances (e.g., ±0.5 dB for link budget components). See our Validation Methodology for details.

9.2  IMPORTANT — ENGINEERING USE DISCLAIMER. The Services are tools for engineering analysis, feasibility studies, and educational reference. They:

  1. DO NOT constitute professional engineering certification, regulatory compliance approval, or licensed engineering judgment;
  2. DO NOT replace the legal or ethical requirement for a qualified professional engineer to review and certify designs for real-world deployment;
  3. DO NOT guarantee any specific real-world performance, regulatory acceptance, or operational outcome.

9.3  YOU ARE SOLELY RESPONSIBLE for:

  1. validating outputs against your specific deployment requirements;
  2. compliance with all applicable regulations of the jurisdictions in which you operate (including but not limited to FCC, IFT, ANATEL, Ofcom, ARCEP, and any aviation authority);
  3. ensuring that any design decisions based on HAPIS outputs are independently reviewed by qualified personnel.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. HAPIS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE FOR ANY PARTICULAR PURPOSE, OR THAT DEFECTS WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HAPIS OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

11.1  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAPIS, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF HAPIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2  IN ANY EVENT, HAPIS'S AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — SHALL NOT EXCEED THE GREATER OF (a) ONE HUNDRED US DOLLARS (USD $100), OR (b) THE TOTAL FEES PAID BY YOU TO HAPIS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.3  The limitations in this section apply regardless of the form of action and survive termination of these Terms.

12. Indemnification

You agree to defend, indemnify, and hold harmless HAPIS and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  1. your use or misuse of the Services;
  2. your violation of these Terms;
  3. your violation of any applicable law or regulation;
  4. your violation of any third-party right, including intellectual-property rights;
  5. any decision, design, or deployment made by you or on your behalf based wholly or in part on outputs of the Services.

13. Export Controls and Sanctions

You represent and warrant that:

  1. you are not located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, or the United Nations;
  2. you are not on any restricted-party list (including the OFAC Specially Designated Nationals list, the U.S. Bureau of Industry and Security Entity List, or equivalent lists);
  3. you will not use the Services in connection with the development, production, or use of weapons of mass destruction or in any other end-use prohibited by applicable export control law.

You are responsible for compliance with the export control laws of your jurisdiction, including with respect to outputs you generate from the Services.

14. Service Availability and SLA

The Services are provided on a commercially reasonable best-effort basis. HAPIS does not guarantee specific uptime levels under these Terms. Any service-level commitments are provided only under separate written agreements (e.g., enterprise contracts).

Planned maintenance, third-party outages, and force-majeure events may temporarily affect availability without constituting a breach of these Terms.

15. Termination

15.1  You may terminate your account at any time by cancelling your subscription through your account portal or by contacting contact@hapintel.com. Termination by you does not entitle you to a refund except as provided in the Refund Policy.

15.2  HAPIS may suspend or terminate your access immediately, with or without notice, if:

  1. you breach these Terms;
  2. we are required to do so by law or regulatory order;
  3. your use of the Services creates a risk of harm or liability to HAPIS or other users;
  4. your account remains unpaid beyond the grace period.

15.3  Upon termination, your right to use the Services ceases immediately. Sections 6, 8.2, 9, 10, 11, 12, 13, 17, 18, and 19 survive termination.

16. Modifications to the Terms

We may modify these Terms from time to time. Material changes will be communicated by email to the address on file and/or by posting a notice on hapintel.com at least fourteen (14) days before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance. If you do not accept the changes, your sole remedy is to terminate your account.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Jalisco and the federal laws of the United Mexican States (Estados Unidos Mexicanos), without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute Resolution and Venue

18.1  The parties will first attempt to resolve any dispute through good-faith negotiation. Either party may initiate negotiation by written notice to contact@hapintel.com describing the dispute.

18.2  If a dispute is not resolved within thirty (30) days of such notice, the parties irrevocably submit to the exclusive jurisdiction of the competent civil and commercial courts of Guadalajara, Jalisco, México, and waive any objection based on venue or forum non conveniens.

18.3  Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

19. General Provisions

19.1  Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

19.2  No Waiver. Failure to enforce any right is not a waiver of that right.

19.3  Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

19.4  Force Majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, governmental action, labour disputes, or third-party infrastructure failures.

19.5  Entire Agreement. These Terms, together with the Privacy Policy, the Refund Policy, and any plan-specific terms at the point of purchase, constitute the entire agreement between you and HAPIS regarding the Services.

19.6  Notices. Notices to HAPIS must be sent to contact@hapintel.com. Notices to you may be sent to the email associated with your account.
